In consideration of your making a loan available to the Borrower _____ we hereby issue this guarantee for the account of the Borrower and agree as follows:
1.我行在此無(wú)條件地不可撤消地保證，借款人在貸款到期或發(fā)生加速還款或其他情況下，按時(shí)償還貸款協(xié)議(包括經(jīng)我行書(shū)面同意的對該協(xié)議的修改和補充)項下現時(shí)或將來(lái)的到期款項。保證金額最高不超過(guò)_____ 美元(即貸款本金加利息的110%)。如果借款人到期不能歸還該等款項，我行將憑你方書(shū)面索賠立即償還。除非有明顯的錯誤，由你方授權官員簽發(fā)的載明該等應還款細節及到期日的任何聲明應是終局的并對我行具有約束力。
1. We hereby unconditionally and irrevocably guarantee to make repayment on time (the due and punctual payment—1) up to the amount of USD_____ (110% of the principal plus accrued interest) which is or may become repayable ( payable —2 ) by the Borrower under the Loan Agreement between the Lender and the Borrower which shall include all subsequent amendments and supplements made to the Loan Agreement (the Loan Agreement as amended or supplemented from time to time —3) with our consent in writing, whether at maturity or upon acceleration or otherwise. If the Borrower fails to repay (pay —4) any such sum when due, we shall pay you the amount on the date of our receipt of your claim in writing. Any statement signed by your duly authorized officer that gives (setting out —5) details and the due date of any such claim shall be conclusive and binding on us except in the case of manifest error.

2. This Guarantee shall become ( be —6 ) effective on the date hereof and shall expire on_____ (six months after the expiry due—7) date of the Loan Agreement. Following each repayment of principal under the Loan Agreement, our liability hereunder shall be reduced accordingly. Our liability hereunder shall not be affected by the granting of any indulgence to the Borrower, or by any defect in the rights of the Lender against the Borrower, or by any other matter or circumstance which, due to this provision, may affect our liability hereunder, provided that any amendments or supplements to (of—8 ) the Loan Agreement are subject to our prior written approval which we undertake we will not (undertake not to—9 )unreasonably withhold (withhold —10) or delay(delay —10 ). The Lender may hereupon lodge demands upon us from time to time and would not be required to take any step to exercise his rights against the Borrower before claiming upon us.
3.本保函項下索賠款的支付不得包括任何抵消、反索賠、限制以及豁免于任何現有或將來(lái)的稅收或其他扣減或任何性質(zhì)的預留。如果在索賠款的支付中必須包含任何扣減或預留，我行除索賠款金額外，還將支付該等必要的附加費用，從而確保貸款人得到應收回的足額還款。
3.A1l payments under this Guarantee shall be made without any setoff or counterclaim or(any—11) restriction or exempt from(condition and free of —12 any present or future taxes or other deductions or withholdings of any nature. If any deduction or withholding must be included in the payment of the claim(is required to be made from any such payment—13) we shall (together with payment—14) of the claim)pay such additional amount together with payment of the claim(such payment—15)as is necessary to ensure the Lender's receipt of(the Lender receive—16)the full amount due to him(them—17).

4.We hereby represent and undertake that all corporate consents and approval， and approval from the governmental or any other authorities involved in this Guarantee have been obtained and are in full force and effect.This Guarantee constitutes our legal.valid and binding obligations enforceable in accordance with its terms，and our obligations hereunder will at all times rank at least pari-passu with all of our other unsecured and insubordinate(unsubordinated—18)obligations.We confirm(will ensure—19)that all authorizations necessary for this purpose remain in full force and effect.
5.貸款人在本保函項下疏于或怠于行使任何權利或補救措施等，均不應視為對該等權利的放棄;任何單項或部分行使上述權利也不能排除貸款人進(jìn)一步采取行動(dòng)或行使其他權利或補救措施的權利。如果在任何時(shí)候本保函的任何條款已是或變?yōu)榉欠āo(wú)效或在任何方面不可執行，本保函其他條款的合法性、有效性及可執行性均不應受到影響或相應降低。
5.No failure or delay by the Lender in exercising any right。power or remedy under this Guarantee shall operate as waiver thereof，nor shall any single or partial exercise of the same preclude any further exercise thereof or the exercise of any other right，power or remedy.If at any time any provision in this guarantee (hereof—20)is or becomes illegal，invalid or unenforceable in any respect， neither the legality，validity or enforceability of the remaining provisions herein shall in any way be affected or impaired thereby.
6.我行將償付貸款人因行使其在本保函項下權利而發(fā)生的全部合理費用(包括律師費用)。
6.We shall reimburse the Lender for all reasonable(fees and—21) expenses (including lawyer's fee)incurred in connection with the enforcement of his rights hereunder.
7.我行將對本保函項下的任何遲付金額按借款人應用的利率水平支付利息，該付息期間的計算從你方索償之日起，直至實(shí)際付款日止(在判決前或判決后)。
7.We shall pay interest on any amount due hereunder from the date of demand to the date of actual payment (before and after judgement)at the rate 0r rates which should be applied(would be payable—23)by the Borrower.
8.未經(jīng)我行事前書(shū)面同意，本保函項下的權益不可以轉讓?zhuān)倚幸啻_認不會(huì )不合理地拖延該等同意。
8.The benefit of this Guarantee may not be assigned without our prior written consent，such consent not to be unreasonably withheld.
9.本保函應確保貸款人和其相應后繼者的權益。不論我行或我行相應后繼者的組織和機構有任何變化，在保函項下的義務(wù)對我行及我行后繼者持續具有約束力。在不違反上述第8條的情況下，貸款人可以將其在本保函項下或由于本保函、貸款協(xié)議及其他擔保契約(根據貸款協(xié)議的定義)而派生的權利或權益全部或部分地轉讓給任何他人。
9.This Guarantee shall assure(ensure to the benefit of—24)the Lender and his(their—25)successor/S of his/their rights and interests(its—26).Our obligations hereunder shall be binding on us and our successor/s notwithstanding any change in our constitution or status or that of Our successor/S.Subject t0 Article 8 above, the Lender may assign to any other person all or any part of his (its—27 ) rights and benefits under or arising from this Guarantee, the Loan Agreement and any other security documents (as defined in the Loan Agreement) ( subject to Article 8above—28 ).

10. We confirm that the signing and execution (and performance—29) of this Guarantee are a commercial act and agree not to claim any immunity from any legal action or proceeding in connection herewith.

篇一：保函
保函是指根據申請人（您）的指示，以中國進(jìn)出口銀行名義向受益人開(kāi)出的，保證申請人履行與受益人簽訂的合同項下義務(wù)的書(shū)面承諾。
保函用途廣泛，適用于商品、勞務(wù)、技術(shù)貿易、工程項目承包交易，物資進(jìn)出口報關(guān)交易，向金融機構或在金融市場(chǎng)上進(jìn)行融資的交易，大型成套設備租賃交易，訴訟程序中的訴訟保全交易，以及各種合同義務(wù)的履行等。
按照當事人所在地的不同，保函可分為：
對外擔保是指中國進(jìn)出口銀行作為擔保人，以保函（含備用信用證）形式，向境外機構（擔保受益人）承諾，當債務(wù)人（可為境內機構或境外機構）未按照合同約定履行義務(wù)時(shí)，由中國進(jìn)出口銀行履行擔保責任的行為。當被擔保人為境外機構而擔保受益人為境內機構的，視同對外擔保業(yè)務(wù)處理。
境內擔保是指中國進(jìn)出口銀行作為擔保人，以保函（含備用信用證）形式，向境內機構（擔保受益人）承諾，當境內債務(wù)人未按照合同約定履行義務(wù)時(shí)，由中國進(jìn)出口銀行履行擔保責任。
按照擔保內容不同，保函可分為：
融資性擔保，是指擔保項下主合同具有融資性質(zhì)的擔保，包括但不限于為借款、債券發(fā)行、融資租賃等提供的，及其他為申請人融資行為而承擔保證責任的擔保。
非融資性擔保，指除融資性擔保之外的其他形式的擔保，包括但不限于投標保函、履約保函、預付款保函、質(zhì)量保函、關(guān)稅保付保函、海事保函、維修保函、延期付款保函等。
保函能為申請人（您）提供哪些好處
用銀行信用替代商業(yè)信用，彰顯企業(yè)良好信譽(yù)，提高合同簽約率；
遵循銀行間統一慣例以及標準化的操作流程和專(zhuān)業(yè)化的保函條款審查，有利于維護申請人的正當權益；

篇二：保函
根據保函在基礎合同中所起的不同作用和擔保人承擔的不同的擔保職責，保函可以具體分為以下幾種：
借款保函指銀行應借款人要求向貸款行所作出的一種旨在保證借款人按照借款合約的規定按期向貸款方歸還所借款項本息的付款保證承諾。
融資租賃保函指承租人根據租賃協(xié)議的規定，請求銀行向出租人所出具的一種旨在保證承租人按期向出租人支付租金的付款保證承諾。
補償貿易保函指在補償貿易合同項下，銀行應設備或技術(shù)的引進(jìn)方申請，向設備或技術(shù)的提供方所作出的'一種旨在保證引進(jìn)方在引進(jìn)后的一定時(shí)期內，以其所生產(chǎn)的產(chǎn)成品或以產(chǎn)成品外銷(xiāo)所得款項，來(lái)抵償所引進(jìn)之設備和技術(shù)的價(jià)款及利息的保證承諾。
投標保函指銀行應投標人申請向招標人作出的保證承諾，保證在投標人報價(jià)的有效期內投標人將遵守其諾言，不撤標、不改標，不更改原報價(jià)條件，并且在其一旦中標后，將按照招標文件的規定在一定時(shí)間內與招標人簽訂合同。
履約保函指銀行應供貨方或勞務(wù)承包方的請求而向買(mǎi)方或業(yè)主方作出的一種履約保證承諾。
預付款保函又稱(chēng)還款保函或定金保函。指銀行應供貨方或勞務(wù)承包方申請向買(mǎi)方或業(yè)主方保證，如申請人未能履約或未能全部按合同規定使用預付款時(shí)，則銀行負責返還保函規定金額的預付款。
付款保函指銀行應買(mǎi)方或業(yè)主申請，向賣(mài)方或承包方所出具的一種旨在保證貸款支付或承包工程進(jìn)度款支付的付款保證承諾。
其他的保函品種還有來(lái)料或來(lái)件加工保函、質(zhì)量保函、預留金保函、延期付款保函、票據或費用保付保函、提貨擔保、保釋金保函及海關(guān)免稅保函等等。
篇三：保函
保函（LetterofGuarantee,L/G）又稱(chēng)保證書(shū)，是指銀行、保險公司、擔保公司或個(gè)人應申請人的請求，向第三方開(kāi)立的一種書(shū)面信用擔保憑證。
保函產(chǎn)生的原因：當承運人到達目的港時(shí)，買(mǎi)方還沒(méi)有收到賣(mài)家郵寄來(lái)的提單，而無(wú)法憑借提單向承運人提貨，因此出具保函以證明收貨人的身份；

在憑保函交付貨物的情況下，收貨人保證在收到提單后立即向船公司交回全套正本提單，承擔應由收貨人支付的運費及其他費用的責任，對因未提交提單而提取貨物所產(chǎn)生的一切損失均承擔責任，并表明對于保證內容由銀行與收貨人一起負連帶責任。憑保函簽發(fā)提單則使得托運人能以清潔提單、已裝船提單順利地結匯。關(guān)于保函的法律效力，海牙規則和維斯比規則都沒(méi)有作出規定，(fwsir)考慮到保函在海運業(yè)務(wù)中的實(shí)際意義和保護無(wú)辜的第三方的需要，漢堡規則第一次就保函的效力問(wèn)題作出了明確的規定，保函是承運人與托運人之間的協(xié)議，不得對抗第三方，承運人與托運人之間的保函，只是在無(wú)欺騙第三方意圖時(shí)才有效；如發(fā)現有意欺騙第三方，則承運人在賠償第三方時(shí)不得享受責任限制，且保函也無(wú)效。
3性質(zhì)編輯
1、是獨立于委托人與擔保人之間的反擔保或委托人與受益人之間的合同或投標條件之外的。
2、是依據其規定的條件生效的，由擔保人以保函中規定的任何單據為基礎做出決定的。

是有權按保函的規定出具索款通知或連同其他單據，向擔保人索取款項的人。受益人的權利是：按照保函規定，在保函效期內提交相符的索款聲明，或連同有關(guān)單據，向擔保人索款，并取得付款。
